Terms of Service

Agreement

These Terms govern your access to and use of Nexclesia (the "Service"). By creating an account, or by accessing or using the Service, you agree to these Terms on behalf of yourself and the church or organisation you represent. If you do not agree, do not use the Service. These Terms are a general framework and are not legal advice; please review them against the law that applies to you.

Who may use the Service

The Service is intended for churches and religious organisations and the administrators, leaders and members they authorise. You confirm that you are authorised to act for your organisation and to bind it to these Terms, and that the people you give access to are permitted to use the Service.

The Service

Nexclesia provides software for churches to manage members, families and children, attendance and check-in, giving and finance, events, communications, pastoral care, volunteers and related activities, together with an optional AI assistant. We may add, change, or remove features over time, and we may run scheduled jobs (such as reminders and reports) as part of operating the Service.

Accounts and security

  • You are responsible for the accuracy of the information you enter and for keeping login credentials confidential.
  • You are responsible for activity under your accounts, and for promptly disabling access for people who should no longer have it.
  • Tell us promptly if you suspect any unauthorised access to your account or data.

Your responsibilities and data protection

You remain the controller of the personal data you put into the Service, and we process it as your processor as described in our Privacy Policy. As controller you are responsible for:

  • Having a lawful basis for the personal data you collect and enter, and giving your members, visitors, donors and children's parents an appropriate privacy notice.
  • Obtaining any consent the law requires — including verifiable consent from a parent or guardian before you collect a child's information, and consent for marketing or non-essential communications where required.
  • Configuring public forms, communications and children's-ministry features appropriately, and only granting access to people who need it.
  • Not uploading unlawful content, malware, or personal data you are not entitled to process.

A Data Processing Agreement is available to Customers on request.

Acceptable use

You must not: use the Service unlawfully or for an unlawful purpose; attempt to disrupt, overload, reverse-engineer or gain unauthorised access to the Service or its data; access data you are not authorised to access; or use the Service to send unlawful, deceptive, or unsolicited messages. You must comply with anti-spam and messaging rules (including recipients' consent and Do-Not-Disturb requirements) for any communications you send.

Subscriptions, billing and refunds

Paid plans are billed in advance according to the plan and billing period you select, and metered add-ons (such as SMS credits) are billed as used or purchased. Payments are processed by Paystack.

  • Auto-renewal, where offered, is opt-in and can be cancelled at any time; cancelling stops future charges, and access continues until the end of the current paid period.
  • Fees are non-refundable except where required by law.
  • We may change pricing or plan features with reasonable notice; changes take effect from your next billing period.
  • If a payment fails or a subscription lapses, access to paid features may be reduced or suspended.

Payments and giving

All card, bank-transfer and USSD payments are handled on Paystack's hosted checkout; we do not receive or store full card details. For member giving and event tickets, funds settle directly to your church's own bank account through your Paystack account, and we do not hold or take a share of those donations.

You are responsible for your Paystack account and settlement details, for issuing any tax or donation receipts your jurisdiction requires, and for the accuracy of the financial records you maintain in the Service.

AI features

The Service includes optional AI features that use a third-party AI provider to generate summaries, insights and answers, and to help parse documents. AI output may be incomplete or inaccurate, can reflect the limitations of the underlying model, and is provided to assist rather than replace human judgement. You are responsible for reviewing AI output before relying on it, particularly for financial, pastoral or safeguarding decisions. Use of these features is also subject to our Privacy Policy.

Your data and ownership

You retain ownership of the data you put into the Service. You grant us the rights needed to host, process and display that data in order to provide the Service and its features (including sending messages you initiate and running the features you enable).

We process personal data as described in our Privacy Policy, which forms part of these Terms. You can export your church's data while your account is active.

Our intellectual property

The Service, including its software, design and content (other than your data), is owned by us or our licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription in accordance with these Terms. You may not copy, resell, or create derivative works from the Service except as the law allows.

Third-party services

The Service relies on third-party providers (for example payment, email, SMS, hosting and AI providers). Your use of features that depend on them may also be subject to those providers' terms, and we are not responsible for their acts or omissions beyond our own obligations to you.

Availability

We work to keep the Service reliable but do not guarantee uninterrupted or error-free availability, and we may perform maintenance or suspend the Service where reasonably necessary. To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind. Keep your own records and backups of critical information.

Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, or for loss of profits, revenue, goodwill or data arising from or relating to the Service. Where liability cannot be excluded, our total liability for any claim is limited to the fees you paid us for the Service in the twelve months before the event giving rise to the claim.

Indemnity

You will indemnify and hold us harmless from claims, losses and costs arising from your use of the Service in breach of these Terms or applicable law, including claims that your collection or use of personal data (such as processing member, donor or children's data without a lawful basis or required consent) infringed someone's rights.

Suspension and termination

You may stop using the Service at any time and can request account deletion from within the Service. We may suspend or terminate access for a material or repeated breach of these Terms, non-payment, or where necessary to protect the Service or others. On termination, your data is handled as described in the Privacy Policy, including the deletion timeline set out there.

Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria have jurisdiction over any dispute, unless otherwise agreed in writing or required by mandatory local law.

Changes to these Terms

We may update these Terms from time to time. We will revise the date above and, for material changes, take reasonable steps to notify Customers. Continued use of the Service after a change takes effect means you accept the updated Terms.
